Owner’s Discount

The Owner’s Discount in this offering will take the form of issuance of additional shares. For example, if you purchase 100 shares of Common Stock you will receive 25 bonus shares, and therefore you will receive 125 shares for the price of 100 shares, effectively a 20% discount.

Please note that as fractional shares will not be distributed and share bonuses will be determined by rounding down to the nearest whole share, the effective discount rate may be slightly less than if a flat discount were applied to the share price.  Therefore if you purchase 103 shares, you will still receive 25 bonus shares, effectively a 19.5% discount rate.

Recapping StartEngine's Annual Shareholder Meeting

 

On Monday, May 11th, StartEngine CEO Howard Marks and Chairman of the Board Ron Miller held our annual shareholder meeting. Here's what you missed:

 

1. StartEngine's CEO Howard Marks and Ron Miller, Chairman of the Board, reviewed our 2019 financials.

 

2. They also discussed recent trends with the StartEngine business, from our new partnership with Kevin O'Leary to the SEC's temporary COVID-19 relief and how it affects the companies raising on StartEngine.

 

3. Finally, Howard and Ron also walked attending shareholders through StartEngine's marketing strategy, before fielding live questions for 40 minutes.

I invested in this round a couple of weeks ago but my start engine account doesn't reflect that I have made an investment. On my trucrowd account it shows SE in my portfolio with my funds in escrow but not invested. Do I need to do anything more to get the transaction to go through?

Something isn't making sense to me with the numbers and your example...  Are you awarding 20% "bonus shares" or 25% "bonus shares"?  At the top of this page you say this about the "Owner’s Discount"

But if I purchase 100 shares and I receive "25 bonus shares",that's a 25% increase in my shares owned.  If I purchase 60 shares will I receive 15 "bonus shares"?  Or if I purchase the minimum 45 shares ($506.25), will I receive 11 "bonus shares"?  Please advise.  Thanks so much.  Blessings

What is the difference between the "Owner’s Bonus" and the "Owner’s Discount"?  And how does it work?  Thanks for clarifying.

Hi W,

The Owner's Discount is a new perk that we are introducing to reward our shareholders. In essence, if you were a StartEngine shareholder prior to this offering going live, you can invest in this offering at a different share price (20% less) than first-time investors. Since TruCrowd does not have the capability of offering a true discount, the discount in this offering takes the shape of 20% bonus shares (rounded down to the nearest whole share) instead.

This perk is independent of the Owner's Bonus, which can be earned by a first-time investor investing $1,000 or more in StartEngine.

I purchased $1000.00 worth of start engines stock on trucrowd when and how do I get to apply the owners bonus and discount moving forward? Do I have to cancel my previous investments and purchase them again to get the new discount? Thanks
